 DRAFT ANALYZER M&A PURCHASE AGREEMENTS

Draft Analyzer an agreement drafting tool, now offers enhanced functionality for asset purchase agreements and stock purchase agreements, including:

  • An interactive Table of Contents to speed up document navigation
  • Embedded links to definitions and drafting guidance to save time, and
  • Improved AI and filtering options to identify market-standard language

Comparable enhancements were added to Draft Analyzer’s merger agreements earlier this year.

NEW NAVIGATION MENU

A new, exposed horizontal menu, top of page, has been designed to improve the discoverability of content and features on Bloomberg Law, and will allow you to easily and quickly view the scope of Bloomberg Law and access content pages with fewer clicks. For most Bloomberg Law complete subscribers, the horizontal menu replaces the ‘hamburger’ menu at the top left of the homepage.

The organization of the page is based on prior Bloomberg Law M&A Deal Insights Survey results, current market data and trends, and amassed internal expertise and usage data. It includes dedicated tiles for Planning, Pre-Transaction Documents, Due Diligence, In-House Preparations, Drafting Principal Agreements, Private Equity & SPACs, and additional topics. Content types include overviews, checklists, annotated sample clauses, sample agreements, and much more.

Patents & Trade Secrets Licensing

Trademarks & Copyrights Licensing

Intellectual Property Practical Guidance now includes two new pages for Patents & Trade Secrets Licensing and Trademarks & Copyrights Licensing. Each page offers sample agreements used by attorneys to draft the types of contracts required when licensing intellectual property. The pages also include sample searches from the Transactional Precedent database, providing additional IP licensing examples.

CHART BUILDERS

A new Labor Laws: Public Sector Chart Builder provides information on state provisions that apply to labor relations and collective bargaining between government employers and unions that represent employees in the public sector.

FAST ANSWERS

More than 100 Fast Answers on employment law issues have been added to the collection. Among the topics covered, the latest additions address employer compliance-related concerns including Covid-19 vaccinations and federal EEO protections, and Fair Credit Reporting Act obligations regarding employee background checks. Additionally, the Fast Answers collection in the Privacy & Data Security Practice Center includes 12 new biometrics questions.

IN FOCUS

New In Focus: Information Blocking & Interoperability keeps you up-to-date on the new rules for information flow within the complicated environment of health information privacy and data security. It balances the need to share electronic health information with an interest in protecting patient privacy. BLOOMBERG LAW SECONDARY SOURCES

Elkouri & Elkouri: How Arbitration Works, the pre-eminent text on labor arbitration, has been updated and the main volume and supplement material have been merged for ease of use.

An update to Products Comparison Manual for Trademark Users adds product and service comparisons by the Trademark Trial and Appeal Board (TTAB) of the United States Patent and Trademark Office (USPTO), bringing content current through 2020.

Privacy in Employment Law has been updated through May 2021, including new discussion across a range of topics.

COPY WITH CITATION IN BLUEBOOK FORMAT

An enhancement to the Copy with Citation feature that populates most federal and state court opinion citations into Bluebook format is now available.

ERISA LITIGATION

The ERISA Litigation practice page has been updated and reorganized to facilitate access to the content you need.
